Francisco, María y Lázaro madrugan con un plan: disfrazados de religiosos, entrar a robar un dinero oculto en La Patria, una casa de reposo mental. Lo que ninguno sabe es que tres ladrones profesionales y fuertemente armados se les adelantaron con la misma intención.
Con empleados y pacientes tomados como rehenes, los dos bandos se disputan el control de la negociación mientras la casa queda rodeada por la policía, los medios de comunicación y decenas de curiosos. COTIZAR AHORAEste documento contiene las condiciones que rigen la renta de estudios y de equipos audiovisuales de ARTTV Producciones. Para facilitar su lectura y comprensión, está organizado en cuatro segmentos: el primero regula la renta de estudios; el segundo, los equipos que se entregan y operan con personal técnico de la empresa; el tercero, los equipos que excepcionalmente salen sin personal; y el cuarto reúne las cláusulas generales, que aplican a todas las rentas. La aceptación de la cotización, la firma del acta o check list de entrega y el recibo de los estudios o equipos implican la aceptación integral de estas condiciones.
La arrendadora. ART TV PRODUCCIONES S.A.S., sociedad identificada con NIT 900.352.275-3, con domicilio en Bogotá, D.C., propietaria de los estudios y de los equipos, que en este documento también se denomina ARTTV Producciones y, en su calidad de arrendadora, se denominará LA ARRENDADORA.
La arrendataria. La persona natural o jurídica que acepta la cotización y recibe en renta los estudios o los equipos, que en su calidad de arrendataria se denominará LA ARRENDATARIA.
Interpretación. Las denominaciones LA ARRENDADORA y LA ARRENDATARIA corresponden al arrendador y al arrendatario de que tratan los artículos 1973 y 1977 del Código Civil colombiano. Cuando una producción combine estudios, equipos y servicios técnicos, estas condiciones se aplican en conjunto y prevalece la naturaleza real de lo contratado sobre cualquier denominación. En caso de diferencia entre la cotización aceptada y este documento en aspectos económicos de una producción específica, prevalece la cotización firmada por las partes.
Este segmento aplica cuando LA ARRENDATARIA renta uno o varios estudios de LA ARRENDADORA, con o sin equipos. Cuando la renta incluya equipos, se aplican además los segmentos 2 o 3, según los equipos salgan con personal de LA ARRENDADORA o sin él.
1.1 Alcance de la renta. La renta del estudio incluye el espacio contratado, los camerinos y las áreas comunes asignadas en la cotización. Los equipos y servicios adicionales se rigen por los demás segmentos de este documento.
1.2 Jornada en estudio. La jornada de estudio es de diez (10) horas continuas, contadas desde el llamado del personal técnico hasta la finalización de la producción. El montaje y el desmontaje hacen parte de la jornada contratada. LA ARRENDADORA se reserva el derecho de modificar los horarios de sus empleados cuando existan causas que lo justifiquen.
1.3 Permanencia y sobretiempo. Vencida la jornada contratada, la permanencia adicional en el estudio se cobra con un recargo del diez por ciento (10%) por cada una de las dos primeras horas y del veinte por ciento (20%) desde la tercera hora, calculado sobre el valor de la jornada del estudio y del personal técnico asignado. La permanencia fuera de la jornada no genera para LA ARRENDATARIA ningún derecho de ocupación distinto del pactado en la cotización.
1.4 Admisión y permanencia. LA ARRENDADORA se reserva el derecho de admisión y de permanencia en sus instalaciones. Si LA ARRENDATARIA, o cualquier persona que ingrese por cuenta de ella (equipo de producción, invitados, talento, modelos, proveedores o público), causa disturbios, agresiones, desórdenes, o incumple las normas de seguridad o de convivencia, LA ARRENDADORA podrá retirar a la persona, suspender la jornada y dar por terminada la renta sin lugar a reembolso, sin perjuicio del cobro de los daños causados. LA ARRENDATARIA responde por la conducta de todas las personas que ingresen por su cuenta.
1.5 Pertenencias. LA ARRENDADORA no se hace responsable por el robo, la pérdida o el daño de pertenencias, equipos propios, utilería, vestuario ni de ningún otro bien de LA ARRENDATARIA o de terceros que se encuentre en las instalaciones. Cada persona custodia sus bienes y LA ARRENDADORA no actúa como depositaria de bienes ajenos.
1.6 Uso y cuidado de las instalaciones. LA ARRENDATARIA responde por la integridad y la conservación del estudio, los camerinos, las áreas comunes y los equipos, y reparará los daños que su producción cause. Toda modificación física del estudio (perforaciones, pintura, fijaciones o escenografía adherida) requiere autorización previa y escrita de LA ARRENDADORA y debe revertirse al finalizar el servicio, salvo pacto escrito en contrario. LA ARRENDADORA suministrará las herramientas y los soportes necesarios para el montaje y el desmontaje en el estudio.
1.7 Energía en estudios. La producción dentro de los estudios podrá servirse de la energía de las instalaciones. El consumo se mide por los medidores correspondientes y se liquida a dos mil pesos ($2.000) por KW/h. LA ARRENDADORA adelantará el servicio y LA ARRENDATARIA deberá prever el pago del mayor valor de energía que se utilice en el estudio. Los balanceos de carga sobre el sistema eléctrico de LA ARRENDADORA serán efectuados por el operador asignado por ella. LA ARRENDADORA asumirá el costo de las instalaciones eléctricas realizadas por su personal dentro de los tableros ubicados en sus instalaciones, y LA ARRENDATARIA asumirá el costo de la energía adicional o acometida que contrate directamente con Enel Codensa o con cualquier otro proveedor.
1.8 Parqueadero. Los vehículos de la producción podrán hacer uso de las zonas de parqueo que LA ARRENDADORA asigne, sujetas a disponibilidad. Los conductores deberán atender en todo momento las instrucciones del personal de LA ARRENDADORA para preservar la integridad de la producción. LA ARRENDADORA no se hace responsable por el daño, el hurto o la pérdida de los vehículos ni de los objetos dejados en su interior.
1.9 Disposición de la basura. LA ARRENDATARIA se obliga a retirar la basura voluminosa generada por su producción (elementos de escenografía, utilería, empaques de alimentos y similares) en un vehículo idóneo al finalizar el servicio, y a disponer de ella conforme a la regulación ambiental y de espacio público vigente. LA ARRENDADORA pondrá canecas suficientes para los desechos ordinarios.
1.10 Aseo especial. Cuando por modificaciones locativas, o por grabaciones en áreas donde normalmente no se realizan, se requiera mantener el lugar en condiciones óptimas de salud y bienestar, LA ARRENDATARIA autoriza a LA ARRENDADORA a designar personal de aseo para tal fin, cuyo costo se informará en la cotización o en su adición escrita.
Este segmento aplica cuando los equipos se entregan y se operan con personal técnico de LA ARRENDADORA, dentro de sus estudios o en locaciones externas. Es la modalidad ordinaria de operación de ARTTV Producciones.
2.1 Supervisión permanente. Los equipos siempre se entregan y se operan con el técnico o los técnicos de LA ARRENDADORA asignados en la cotización. Durante toda la jornada, la custodia y la operación de los equipos permanecen en LA ARRENDADORA, sin perjuicio de las responsabilidades de LA ARRENDATARIA previstas en este documento.
2.2 Operación exclusiva. Ninguna persona ajena a LA ARRENDADORA podrá manipular, operar o intervenir los equipos sin autorización expresa de LA ARRENDADORA. El personal técnico requerido para ejecutar los trabajos estará debidamente identificado y contará con la idoneidad para la función asignada.
2.3 Dirección de la producción. LA ARRENDATARIA dirige la producción y, por conducto de su director o de su productor, imparte las órdenes sobre los aspectos operativos, logísticos y administrativos del servicio. El vínculo laboral del personal técnico es exclusivamente con LA ARRENDADORA, que asume las obligaciones propias de empleador.
2.4 Autoridad técnica y seguridad. El personal de LA ARRENDADORA advertirá a LA ARRENDATARIA cualquier riesgo para las personas, los equipos o la producción, incluido el riesgo eléctrico, y dejará constancia de la advertencia. Si LA ARRENDATARIA ordena continuar contra la advertencia, asume las consecuencias y los daños que se deriven de su decisión. El técnico podrá detener la operación cuando exista un riesgo grave e inminente para las personas o para los equipos; si la causa de la detención es ajena a LA ARRENDADORA, la jornada se cobrará en su totalidad.
2.5 Jornada fuera del estudio. Cuando el servicio se preste fuera de los estudios de LA ARRENDADORA, la jornada será de doce (12) horas continuas, contadas desde la llegada del personal técnico a la sede de LA ARRENDADORA o desde su salida hacia la locación, hasta su regreso, incluido el tiempo de traslado. Los días de desplazamiento fuera de la ciudad se cobran como días completos de renta de los equipos, por el valor acordado. El descanso mínimo entre una jornada y la siguiente es de diez (10) horas; si LA ARRENDATARIA exige un llamado anterior, pagará un recargo equivalente al valor de una jornada.
2.6 Recargos. Las horas adicionales a la jornada se cobran con un recargo del diez por ciento (10%) por hora en las dos primeras y del veinte por ciento (20%) desde la tercera, sobre el valor de la jornada calculado con base en el día de renta de doce (12) horas. En estudio, la jornada base es de diez (10) horas. El trabajo nocturno, entre las 7:00 p. m. y las 5:00 a. m., tendrá un recargo del cincuenta por ciento (50%) sobre el valor de la jornada. Los trasnochos, entre las 12:00 a. m. y las 5:00 a. m., tendrán un recargo del cien por ciento (100%). Los trabajos realizados en días domingo y festivos tendrán un recargo del cien por ciento (100%) para el personal técnico asignado, con independencia del medio de transporte dispendioso que se deba utilizar.
2.7 Transporte. Todo transporte del personal inicia a las horas de llamada indicadas en la cotización. LA ARRENDATARIA pagará, por cada viaje, el auxilio de transporte calculado según la tabla dispuesta por LA ARRENDADORA (tarifas de referencia de servicios como Taxi o Beat). Cuando el servicio se contrate desde una ciudad diferente a Bogotá, todo el transporte correrá por cuenta de LA ARRENDATARIA. Los equipos solo podrán transportarse en los vehículos que LA ARRENDADORA defina como idóneos conforme al tipo de producción.
2.8 Alimentación. El tiempo de alimentación hace parte de la jornada: cuarenta y cinco (45) minutos cuando el servicio se preste en las instalaciones de LA ARRENDADORA y una (1) hora cuando se preste fuera de ellas. El desayuno, el almuerzo y la cena de todo el personal técnico y artístico durante la producción son por cuenta de LA ARRENDATARIA.
2.9 Ambiente seguro en locación. Cuando la producción se realice en una locación dispuesta por LA ARRENDATARIA, esta garantiza un entorno seguro para el personal, los vehículos y los equipos: acceso oportuno, cargue y descargue seguros, vigilancia razonable y ausencia de riesgos conocidos, como presencia de agua, instalaciones eléctricas inseguras o superficies inestables. Si un equipo se pierde, se roba o se daña porque el sitio no ofrecía condiciones seguras, los costos de reparación o reposición y los gastos derivados serán por cuenta de LA ARRENDATARIA.
2.10 Pernoctada de equipos. Si por necesidades de la producción los equipos deben permanecer en la locación fuera de la jornada o durante la noche, la guarda y la custodia de los equipos durante ese tiempo serán de LA ARRENDATARIA, que garantiza un espacio cerrado, seguro y bajo llave. La entrega para la pernoctada y la recepción al reinicio de la jornada se registrarán en acta o constancia escrita.
2.11 Demoras por cuenta de LA ARRENDATARIA. Si el inicio o el desarrollo del trabajo se retrasa por causas atribuibles a LA ARRENDATARIA (falta de acceso a la locación, locación no lista, decisiones pendientes o instrucciones tardías), el tiempo transcurrido se entiende parte de la jornada y los sobretiempos se cobrarán conforme a este documento.
2.12 Daños y pérdidas durante la jornada. Los daños o pérdidas causados por imprevisión, inobservancia o negligencia de LA ARRENDATARIA, o del personal a su cargo, serán reparados o pagados por ella conforme a la cláusula 4.7 de este documento. El mantenimiento ordinario y las reparaciones por desgaste normal de los equipos son por cuenta de LA ARRENDADORA.
Este segmento aplica únicamente cuando LA ARRENDADORA autoriza expresamente que determinados equipos salgan sin personal técnico suyo. Todo equipo que no aparezca relacionado en la cotización o en el acta como equipo sin personal se entiende entregado con personal y se rige por el segmento 2.
3.1 Autorización expresa. La salida de equipos sin personal requiere autorización expresa y escrita de LA ARRENDADORA para cada alquiler y se limita a los equipos relacionados en la cotización o en el acta de entrega.
3.2 Requisitos para alquilar. Para el primer alquiler, y siempre que LA ARRENDADORA lo requiera, LA ARRENDATARIA aportará: si es persona jurídica, el certificado de existencia y representación legal (cámara de comercio) y copia del documento de identidad de su representante legal; si es persona natural, copia de su documento de identidad y una referencia comercial o laboral verificable. En todos los casos, LA ARRENDATARIA designará por escrito a la persona autorizada para recibir, inspeccionar y devolver los equipos y para firmar los documentos de entrega y devolución.
3.3 Garantía. Al momento de la entrega, LA ARRENDATARIA firmará un pagaré con carta de instrucciones a favor de LA ARRENDADORA, que respalda el valor de los equipos y el cumplimiento de las obligaciones de este documento, y constituirá un depósito en dinero proporcional al valor de los equipos entregados. LA ARRENDADORA devolverá el depósito y el pagaré una vez recibidos los equipos y verificado su buen estado y funcionamiento. LA ARRENDADORA podrá eximir o reducir la garantía para clientes con historial satisfactorio de alquileres, decisión que constará por escrito.
3.4 Entrega personal. La entrega y la devolución se harán personalmente a la persona autorizada por escrito. No se entregarán equipos a mensajeros, conductores de plataformas ni a ningún tercero no autorizado por escrito. La devolución por un tercero solo procede si esa persona participa con LA ARRENDADORA en la evaluación conjunta del estado de los equipos.
3.5 Acta de entrega. La entrega se formaliza en un acta o check list con el inventario de equipos y accesorios, sus seriales y su estado. Cualquier observación sobre el estado o los faltantes deberá anotarse en el acta en el momento de la entrega. La firma del acta certifica que los equipos se recibieron completos y en el estado allí registrado.
3.6 Custodia total. Desde la entrega y hasta la devolución verificada, LA ARRENDATARIA tiene la custodia total de los equipos y responde por todo daño, pérdida, robo, uso indebido y faltante, causado por ella, por su personal o por terceros. En tales casos pagará la reparación o, cuando esta no sea posible o el equipo se haya perdido, su valor de reposición, conforme a la cláusula 4.7 de este documento.
3.7 Prohibiciones. LA ARRENDATARIA no podrá subarrendar, prestar, ceder ni permitir el uso de los equipos por terceros, ni trasladarlos a una locación distinta de la autorizada o fuera de Colombia, sin autorización previa y escrita de LA ARRENDADORA.
3.8 Transporte y manejo. LA ARRENDATARIA transportará los equipos en los estuches o empaques entregados, evitando golpes, vibraciones excesivas, humedad y exposición al clima. Si un equipo no apto para exteriores presenta señales de humedad o de exposición indebida al momento de la devolución, LA ARRENDATARIA pagará su valor de reposición.
3.9 Devolución y retrasos. La devolución se hará en la fecha, la hora y el lugar exactos consignados en el acta. Cada día o fracción de retraso se cobrará como un día adicional de renta, a la tarifa pactada. Si el retraso supera veinticuatro (24) horas sin acuerdo escrito previo, LA ARRENDADORA podrá cobrar el valor de reposición de los equipos, sin perjuicio de la renta causada hasta la devolución efectiva o el pago.
3.10 Material en los medios. Antes de devolver cámaras, grabadoras o memorias, LA ARRENDATARIA deberá respaldar y retirar la totalidad de su material grabado. LA ARRENDADORA podrá formatear los medios para el siguiente alquiler. El riesgo sobre el material grabado se rige por la cláusula 4.8 de este documento.
3.11 Revisión posterior. La recepción física de los equipos no impide que LA ARRENDADORA reporte, dentro de un tiempo razonable y con el soporte correspondiente, los daños no evidentes que se detecten en la revisión técnica posterior a la devolución. Esos daños se cobran conforme a la cláusula 4.7.
Las cláusulas de este segmento aplican a todas las rentas de ARTTV Producciones: estudios, equipos con personal y equipos sin personal.
4.1 Cotización y perfeccionamiento. La contratación se perfecciona con el pago del cincuenta por ciento (50%) del valor de la cotización a título de anticipo y el cincuenta por ciento (50%) restante contra la firma del acta o check list de los equipos y servicios aprobados. Si LA ARRENDATARIA no cumple oportunamente con esos pagos, LA ARRENDADORA podrá dar por terminada la contratación de manera unilateral. La cotización no incluye: cerramientos de vías o espacios públicos; energía adicional contratada con Enel Codensa; permisos ante entidades distritales o nacionales; alimentación no ofrecida expresamente; personal no incluido en la cotización; locaciones no ofrecidas; parqueaderos fuera de las instalaciones de LA ARRENDADORA; transporte intermunicipal, combustible y peajes; carro taller; planta eléctrica; ni seguros no ofrecidos expresamente.
4.2 Precios, IVA y facturación. Todos los precios están expresados en pesos colombianos y no incluyen el impuesto al valor agregado (IVA). LA ARRENDATARIA pagará el IVA que se genere sobre cada renta y practicará las retenciones a que haya lugar conforme a la ley, expidiendo los certificados correspondientes. Los pagos se harán en la forma y los plazos indicados en la cotización.
4.3 Intereses de mora. Si LA ARRENDATARIA no paga oportunamente cualquier valor a su cargo, pagará intereses moratorios a la tasa máxima legal permitida, desde la fecha de vencimiento de la obligación hasta el pago total, liquidados mes a mes o por fracción de mes.
4.4 Cancelación y reprogramación. LA ARRENDATARIA podrá cancelar el servicio mediante aviso escrito con una antelación mínima de veinticuatro (24) horas a la fecha programada, sin costo. Si la cancelación se realiza con menos de veinticuatro (24) horas, pagará el cincuenta por ciento (50%) del valor confirmado. Si no se presenta el día del servicio, o lo cancela dentro de las doce (12) horas anteriores, pagará el cien por ciento (100%) del valor confirmado. La reprogramación de fechas y horarios de mutuo acuerdo no genera recargo; LA ARRENDADORA no será responsable por las dificultades derivadas de la premura en una reprogramación de última hora.
4.5 Solicitudes adicionales por escrito. Toda solicitud adicional o cambio (equipos, servicios, horarios, personal, locaciones) deberá confirmarse por escrito, incluso por correo electrónico dirigido a LA ARRENDADORA, y se entiende aceptado su cobro con esa confirmación. Las solicitudes verbales no obligan a LA ARRENDADORA ni generan derecho a facturación para LA ARRENDATARIA. Las adiciones confirmadas se facturan con las mismas tarifas y condiciones de la cotización.
4.6 Seguros. Para garantizar los riesgos de los equipos durante la renta, LA ARRENDATARIA pagará el uno por ciento (1%) del valor de la renta por concepto de póliza de responsabilidad contractual, suma que generará deudores solidarios por el compromiso adquirido. En producciones de larga duración, LA ARRENDADORA podrá aceptar en sustitución la póliza paraguas de la producción, siempre que cubra los equipos y la responsabilidad frente a LA ARRENDADORA. La cobertura no operará cuando los equipos se utilicen en condiciones notoriamente inseguras sin que se hayan acordado e implementado las medidas de protección correspondientes.
4.7 Responsabilidad por daños y pérdidas. LA ARRENDADORA responde por el mantenimiento normal de sus equipos. Cuando por imprevisión, inobservancia o negligencia de LA ARRENDATARIA, o de las personas por quienes ella debe responder, los equipos sufran daño o pérdida, LA ARRENDATARIA pagará su valor de reposición, previa reparación efectuada por el servicio técnico de LA ARRENDADORA o de la casa matriz del equipo. El término para reclamar la pérdida o el daño es de un (1) mes contado desde el hecho. Cuando el daño o la pérdida se produzca por fuerza mayor o por el hecho de un tercero y haya lugar a reclamación ante la aseguradora, LA ARRENDADORA hará la reclamación por conducto de su aseguradora, para beneficio de las partes.
4.8 Material grabado y propiedad intelectual. La propiedad intelectual y los demás derechos sobre el material grabado pertenecen a LA ARRENDATARIA o a quien ella represente. LA ARRENDADORA no conserva copias del material, salvo que LA ARRENDATARIA le encargue expresamente y por escrito su custodia, caso en el cual se pactarán las condiciones del almacenamiento. Una vez entregado el material o los medios de grabación a LA ARRENDATARIA o a su persona autorizada, todo riesgo sobre el material es de LA ARRENDATARIA. LA ARRENDATARIA debe verificar el material durante la grabación o inmediatamente después de ella y mantener sus propias copias de respaldo. LA ARRENDADORA no es una granja de almacenamiento y no garantiza la conservación de material que no haya sido retirado.
4.9 Detrás de cámaras y portafolio. LA ARRENDATARIA autoriza a LA ARRENDADORA a fotografiar y grabar en video el detrás de cámaras de las producciones realizadas con sus estudios o con sus equipos, por conducto de personal propio de LA ARRENDADORA, incluido su fotógrafo o creador de contenido, y a publicar ese material en las redes sociales y canales de LA ARRENDADORA, existentes o que lleguen a existir (entre ellos LinkedIn, Facebook, Instagram y TikTok), en su página web, en su portafolio de servicios y en piezas publicitarias, en fotografías, imágenes fijas (stills) y videos, sin costo adicional para LA ARRENDADORA. La captura del detrás de cámaras se hará sin interferir con la producción. Si la producción es confidencial o su lanzamiento es posterior, LA ARRENDATARIA lo informará por escrito y LA ARRENDADORA se abstendrá de publicar el material hasta el lanzamiento o hasta recibir autorización escrita.
4.10 Conformidad y reclamos. Al finalizar cada jornada, las partes podrán firmar la conformidad del servicio prestado. Las reclamaciones sobre el servicio o sobre el material deberán presentarse a más tardar dentro de las veinticuatro (24) horas siguientes a la finalización de la jornada, con la evidencia correspondiente. Vencido ese plazo sin reclamación, el servicio se entiende recibido a satisfacción, sin perjuicio de los daños no evidentes a que se refiere la cláusula 3.11.
4.11 Fuerza mayor. Si un hecho de fuerza mayor o caso fortuito, incluidas las decisiones de autoridad, las alteraciones del orden público o las condiciones climáticas extremas, impide la realización de la producción, las partes la reprogramarán de común acuerdo y sin penalidad. Los servicios ya prestados y los costos ya causados se pagarán en su totalidad. Si LA ARRENDADORA debe cancelar un servicio por razones de seguridad de su personal o de sus equipos, ofrecerá la reprogramación o la devolución de los anticipos correspondientes a servicios no prestados.
4.12 Seguridad y salud en el trabajo. Todo el personal técnico, operativo y artístico de cada parte deberá estar afiliado y al día en el Sistema de Gestión de Seguridad y Salud en el Trabajo, conforme al Decreto 1072 de 2015 y a la Resolución 111 de 2017, con los elementos de protección personal y los protocolos de bioseguridad aplicables. Cuando el trabajo se ejecute bajo la dirección y subordinación de LA ARRENDATARIA como contratante, la afiliación y los pagos de seguridad social de su personal serán su responsabilidad. LA ARRENDADORA podrá verificar los soportes y suspender actividades que impliquen riesgo. LA ARRENDATARIA declara que su personal y el de sus proveedores se encuentra vinculado legalmente y al día en seguridad social, y mantendrá indemne a LA ARRENDADORA frente a cualquier reclamación derivada de su personal.
4.13 Uso legal e indemnidad. LA ARRENDATARIA utilizará los estudios y los equipos conforme a la ley y a las buenas costumbres. Si por el uso ilegal de los estudios o de los equipos, o por el contenido de su producción, se causan sanciones, reclamaciones o perjuicios a LA ARRENDADORA, LA ARRENDATARIA la indemnizará y la mantendrá indemne, incluidos los costos de defensa.
4.14 Protección de datos personales. Las partes se obligan a cumplir la Ley 1581 de 2012 y las normas que la reglamentan, y a utilizar los datos personales a los que accedan con ocasión de este contrato únicamente para su ejecución, adoptando las medidas de seguridad correspondientes. LA ARRENDATARIA autoriza a LA ARRENDADORA a tratar sus datos personales para la ejecución del contrato y la gestión comercial derivada de él. Si no está de acuerdo con este tratamiento, debe manifestarlo por escrito, para no ser incluida dentro de la base de datos de LA ARRENDADORA.
4.15 Gestión ante terceros. LA ARRENDATARIA autoriza a LA ARRENDADORA a gestionar ante entidades públicas o privadas los permisos y las actividades necesarios para la ejecución de la producción. Cuando la gestión implique desplazamientos fuera de la ciudad, podrán generarse recargos u honorarios por devoluciones tardías o gestiones adicionales, que se informarán previamente a LA ARRENDATARIA.
4.16 Cesión y auditoría. LA ARRENDATARIA no podrá ceder este contrato ni los derechos derivados de él sin autorización previa y escrita de LA ARRENDADORA. LA ARRENDADORA podrá cederlo, o subcontratar su ejecución, con empresas de su mismo grupo empresarial, informándolo a LA ARRENDATARIA. LA ARRENDADORA podrá auditar en cualquier tiempo el cumplimiento de las obligaciones a cargo de LA ARRENDATARIA.
4.17 Cláusula penal. El incumplimiento de cualquiera de las obligaciones de este contrato, por cualquiera de las partes, dará lugar a una sanción equivalente al veinte por ciento (20%) del valor del contrato, exigible a los diez (10) días hábiles siguientes a la notificación del incumplimiento, sin perjuicio del cobro de los perjuicios adicionales que se demuestren.
4.18 Obligaciones tributarias. Cada parte declara encontrarse al día en sus obligaciones tributarias y se obliga a mantenerse así durante la vigencia del contrato. Los gastos de legalización de este documento serán por cuenta de ambas partes por partes iguales.
4.19 Notificaciones. Las notificaciones entre las partes se harán por escrito a las direcciones y correos electrónicos registrados en la cotización o en el acta de entrega. Las enviadas por correo electrónico se entienden recibidas el mismo día de su envío cuando se hagan en día y horario hábiles. El domicilio contractual de las partes es la ciudad de Bogotá, D.C.
4.20 Modificaciones e integridad. Toda modificación de este documento requiere acuerdo escrito de las partes. Si una autoridad competente declara nula o inaplicable alguna cláusula, las demás conservarán plena vigencia. Este documento, junto con la cotización aceptada y las actas de entrega, constituye el acuerdo completo entre las partes sobre la renta de estudios y equipos.

GET A QUOTEThis document contains the terms that govern the rental of studios and audiovisual equipment of ARTTV Producciones. To make it easier to read and understand, it is organized in four segments: the first governs the rental of studios; the second, the equipment that is delivered and operated with technical crew of the company; the third, the equipment that exceptionally goes out without crew; and the fourth brings together the general clauses, which apply to all rentals. Acceptance of the quotation, signing of the delivery record or checklist, and receipt of the studios or the equipment imply full acceptance of these terms.
The lessor. ART TV PRODUCCIONES S.A.S., a company identified with NIT 900.352.275-3, domiciled in Bogotá, D.C., owner of the studios and the equipment, which in this document is also called ARTTV Producciones and, in its capacity as lessor, shall be called THE LESSOR.
The lessee. The natural or legal person who accepts the quotation and receives the studios or the equipment on rental, who in their capacity as lessee shall be called THE LESSEE.
Interpretation. The names THE LESSOR and THE LESSEE correspond to the lessor and the lessee referred to in articles 1973 and 1977 of the Colombian Civil Code. When a production combines studios, equipment and technical services, these terms apply as a whole and the real nature of what was contracted prevails over any name. In case of a difference between the accepted quotation and this document on economic aspects of a specific production, the quotation signed by the parties prevails.
This segment applies when THE LESSEE rents one or more studios of THE LESSOR, with or without equipment. When the rental includes equipment, segments 2 or 3 also apply, depending on whether the equipment goes out with crew of THE LESSOR or without it.
1.1 Scope of the rental. The studio rental includes the contracted space, the dressing rooms and the common areas assigned in the quotation. Additional equipment and services are governed by the other segments of this document.
1.2 Studio workday. The studio workday is ten (10) continuous hours, counted from the call of the technical crew until the end of the production. Rigging and de-rigging are part of the contracted workday. THE LESSOR reserves the right to modify the schedules of its employees when there are causes that justify it.
1.3 Stay and overtime. Once the contracted workday has ended, the additional stay in the studio is charged with a surcharge of ten percent (10%) for each of the first two hours and of twenty percent (20%) from the third hour, calculated on the value of the studio workday and of the assigned technical crew. Staying beyond the workday gives THE LESSEE no right of occupation other than the one agreed in the quotation.
1.4 Admission and permanence. THE LESSOR reserves the right of admission and of permanence at its facilities. If THE LESSEE, or any person who enters on their account (production crew, guests, talent, models, suppliers or audience), causes disturbances, aggressions, disorders, or breaches the safety or coexistence rules, THE LESSOR may remove the person, suspend the workday and terminate the rental with no right to a refund, without prejudice to charging for the damage caused. THE LESSEE answers for the conduct of all persons who enter on their account.
1.5 Belongings. THE LESSOR is not responsible for the theft, loss or damage of belongings, own equipment, props, wardrobe or any other good of THE LESSEE or of third parties found at the facilities. Each person keeps custody of their goods, and THE LESSOR does not act as depositary of goods of others.
1.6 Use and care of the facilities. THE LESSEE answers for the integrity and conservation of the studio, the dressing rooms, the common areas and the equipment, and shall repair the damage that their production causes. Any physical modification of the studio (drilling, painting, fixings or attached set construction) requires prior written authorization of THE LESSOR and must be reverted at the end of the service, unless otherwise agreed in writing. THE LESSOR shall supply the tools and supports necessary for rigging and de-rigging in the studio.
1.7 Energy in studios. Production inside the studios may use the energy of the facilities. Consumption is measured by the corresponding meters and is settled at two thousand pesos ($2.000) per KW/h. THE LESSOR shall advance the service, and THE LESSEE must provide for the payment of the greater value of energy used in the studio. Load balancing on the electrical system of THE LESSOR shall be carried out by the operator assigned by it. THE LESSOR shall bear the cost of the electrical installations made by its personnel within the panels located at its facilities, and THE LESSEE shall bear the cost of the additional energy or service connection that it contracts directly with Enel Codensa or with any other provider.
1.8 Parking. The vehicles of the production may use the parking areas that THE LESSOR assigns, subject to availability. Drivers must follow at all times the instructions of the personnel of THE LESSOR to preserve the integrity of the production. THE LESSOR is not responsible for the damage, theft or loss of the vehicles or of the objects left inside them.
1.9 Waste disposal. THE LESSEE undertakes to remove the bulky waste generated by their production (set elements, props, food packaging and the like) in a suitable vehicle at the end of the service, and to dispose of it in accordance with the environmental and public space regulations in force. THE LESSOR shall provide sufficient bins for ordinary waste.
1.10 Special cleaning. When, due to physical modifications, or due to recordings in areas where they are not normally held, it is required to keep the place in optimal conditions of health and well-being, THE LESSEE authorizes THE LESSOR to designate cleaning personnel for that purpose, whose cost shall be reported in the quotation or in its written addition.
This segment applies when the equipment is delivered and operated with technical crew of THE LESSOR, inside its studios or at external locations. It is the ordinary operating modality of ARTTV Producciones.
2.1 Permanent supervision. The equipment is always delivered and operated with the technician or technicians of THE LESSOR assigned in the quotation. Throughout the workday, custody and operation of the equipment remain with THE LESSOR, without prejudice to the responsibilities of THE LESSEE set out in this document.
2.2 Exclusive operation. No person outside THE LESSOR may manipulate, operate or intervene the equipment without express authorization of THE LESSOR. The technical personnel required to carry out the work shall be duly identified and shall have the suitability for the assigned function.
2.3 Direction of the production. THE LESSEE directs the production and, through its director or its producer, gives the orders on the operational, logistical and administrative aspects of the service. The employment relationship of the technical crew is exclusively with THE LESSOR, which assumes the obligations proper to an employer.
2.4 Technical authority and safety. The personnel of THE LESSOR shall warn THE LESSEE of any risk to persons, to the equipment or to the production, including electrical risk, and shall leave a record of the warning. If THE LESSEE orders to continue against the warning, it assumes the consequences and the damage derived from its decision. The technician may stop the operation when there is a serious and imminent risk to persons or to the equipment; if the cause of the stoppage is unrelated to THE LESSOR, the workday shall be charged in full.
2.5 Workday outside the studio. When the service is provided outside the studios of THE LESSOR, the workday shall be twelve (12) continuous hours, counted from the arrival of the technical crew at the headquarters of THE LESSOR or from their departure toward the location, until their return, including travel time. Travel days outside the city are charged as full days of equipment rental, at the agreed value. The minimum rest between one workday and the next is ten (10) hours; if THE LESSEE demands an earlier call, it shall pay a surcharge equivalent to the value of one workday.
2.6 Surcharges. The hours additional to the workday are charged with a surcharge of ten percent (10%) per hour in the first two hours and of twenty percent (20%) from the third hour, on the value of the workday calculated on the basis of the twelve (12) hour rental day. In studio, the base workday is ten (10) hours. Night work, between 7:00 p. m. and 5:00 a. m., shall have a surcharge of fifty percent (50%) on the value of the workday. Late-night work, between 12:00 a. m. and 5:00 a. m., shall have a surcharge of one hundred percent (100%). Work carried out on Sundays and holidays shall have a surcharge of one hundred percent (100%) for the assigned technical crew, regardless of the costly means of transport that must be used.
2.7 Transport. All transport of the personnel starts at the call times indicated in the quotation. THE LESSEE shall pay, for each trip, the transport allowance calculated according to the table provided by THE LESSOR (reference rates of services such as Taxi or Beat). When the service is contracted from a city other than Bogotá, all transport shall be at the expense of THE LESSEE. The equipment may only be transported in the vehicles that THE LESSOR defines as suitable according to the type of production.
2.8 Meals. Meal time is part of the workday: forty-five (45) minutes when the service is provided at the facilities of THE LESSOR and one (1) hour when it is provided outside them. Breakfast, lunch and dinner of all technical and artistic personnel during the production are at the expense of THE LESSEE.
2.9 Safe environment on location. When the production is held at a location provided by THE LESSEE, the latter guarantees a safe environment for the personnel, the vehicles and the equipment: timely access, safe loading and unloading, reasonable surveillance and absence of known risks, such as the presence of water, unsafe electrical installations or unstable surfaces. If a piece of equipment is lost, stolen or damaged because the site did not offer safe conditions, the costs of repair or replacement and the derived expenses shall be at the expense of THE LESSEE.
2.10 Overnight stay of equipment. If, due to the needs of the production, the equipment must remain at the location outside the workday or during the night, the guard and custody of the equipment during that time shall be of THE LESSEE, who guarantees a closed, safe and locked space. The handover for the overnight stay and the reception at the restart of the workday shall be recorded in a record or written note.
2.11 Delays attributable to THE LESSEE. If the start or the development of the work is delayed for causes attributable to THE LESSEE (lack of access to the location, location not ready, pending decisions or late instructions), the elapsed time is understood to be part of the workday and overtime shall be charged in accordance with this document.
2.12 Damage and loss during the workday. Damage or loss caused by lack of foresight, non-observance or negligence of THE LESSEE, or of the personnel in its charge, shall be repaired or paid by it in accordance with clause 4.7 of this document. Ordinary maintenance and repairs due to normal wear of the equipment are at the expense of THE LESSOR.
This segment applies only when THE LESSOR expressly authorizes certain equipment to go out without its technical crew. Any equipment that does not appear listed in the quotation or in the record as equipment without crew is understood to be delivered with crew and is governed by segment 2.
3.1 Express authorization. The release of equipment without crew requires express written authorization of THE LESSOR for each rental and is limited to the equipment listed in the quotation or in the delivery record.
3.2 Requirements to rent. For the first rental, and whenever THE LESSOR requires it, THE LESSEE shall provide: if it is a legal person, the certificate of existence and legal representation (chamber of commerce) and a copy of the identity document of its legal representative; if it is a natural person, a copy of its identity document and a verifiable commercial or employment reference. In all cases, THE LESSEE shall designate in writing the person authorized to receive, inspect and return the equipment and to sign the delivery and return documents.
3.3 Guarantee. At the time of delivery, THE LESSEE shall sign a promissory note (pagaré) with a letter of instructions in favor of THE LESSOR, which backs the value of the equipment and the performance of the obligations of this document, and shall constitute a cash deposit proportional to the value of the equipment delivered. THE LESSOR shall return the deposit and the promissory note once the equipment has been received and its good condition and functioning have been verified. THE LESSOR may waive or reduce the guarantee for clients with a satisfactory rental history, a decision that shall be recorded in writing.
3.4 In-person delivery. Delivery and return shall be made personally to the person authorized in writing. No equipment shall be delivered to messengers, platform drivers or any third party not authorized in writing. Return by a third party only proceeds if that person participates with THE LESSOR in the joint evaluation of the condition of the equipment.
3.5 Delivery record. Delivery is formalized in a record or checklist with the inventory of equipment and accessories, their serial numbers and their condition. Any observation on the condition or on missing items must be noted in the record at the time of delivery. The signing of the record certifies that the equipment was received complete and in the condition recorded there.
3.6 Full custody. From delivery and until the verified return, THE LESSEE has full custody of the equipment and answers for all damage, loss, theft, misuse and missing items, caused by it, by its personnel or by third parties. In such cases it shall pay the repair or, when the repair is not possible or the equipment has been lost, its replacement value, in accordance with clause 4.7 of this document.
3.7 Prohibitions. THE LESSEE may not sublet, lend, assign or allow the use of the equipment by third parties, nor move it to a location different from the authorized one or outside Colombia, without prior written authorization of THE LESSOR.
3.8 Transport and handling. THE LESSEE shall transport the equipment in the cases or packaging delivered, avoiding blows, excessive vibrations, humidity and exposure to the weather. If a piece of equipment not suitable for exteriors shows signs of humidity or of undue exposure at the time of return, THE LESSEE shall pay its replacement value.
3.9 Return and delays. Return shall be made on the exact date, time and place stated in the record. Each day or fraction of delay shall be charged as one additional day of rental, at the agreed rate. If the delay exceeds twenty-four (24) hours without prior written agreement, THE LESSOR may charge the replacement value of the equipment, without prejudice to the rent accrued until the effective return or the payment.
3.10 Material on the media. Before returning cameras, recorders or memory media, THE LESSEE must back up and remove all of its recorded material. THE LESSOR may format the media for the next rental. The risk over the recorded material is governed by clause 4.8 of this document.
3.11 Subsequent inspection. The physical receipt of the equipment does not prevent THE LESSOR from reporting, within a reasonable time and with the corresponding support, the non-evident damage detected in the technical inspection after the return. That damage shall be charged in accordance with clause 4.7.
The clauses of this segment apply to all rentals of ARTTV Producciones: studios, equipment with crew and equipment without crew.
4.1 Quotation and perfection. The contracting is perfected with the payment of fifty percent (50%) of the value of the quotation as an advance and the remaining fifty percent (50%) against the signing of the record or checklist of the approved equipment and services. If THE LESSEE does not timely make those payments, THE LESSOR may terminate the contracting unilaterally. The quotation does not include: road or public space closures; additional energy contracted with Enel Codensa; permits before district or national entities; meals not expressly offered; personnel not included in the quotation; locations not offered; parking outside the facilities of THE LESSOR; intermunicipal transport, fuel and tolls; workshop vehicle (carro taller); power plant; nor insurance not expressly offered.
4.2 Prices, VAT and invoicing. All prices are expressed in Colombian pesos and do not include value added tax (VAT). THE LESSEE shall pay the VAT generated on each rental and shall apply the withholdings that may apply in accordance with the law, issuing the corresponding certificates. Payments shall be made in the form and within the terms indicated in the quotation.
4.3 Default interest. If THE LESSEE does not timely pay any amount in its charge, it shall pay default interest at the maximum legal rate allowed, from the due date of the obligation until full payment, settled month by month or by fraction of a month.
4.4 Cancellation and rescheduling. THE LESSEE may cancel the service by written notice with a minimum advance of twenty-four (24) hours before the scheduled date, at no cost. If the cancellation is made with less than twenty-four (24) hours, it shall pay fifty percent (50%) of the confirmed value. If it does not show up on the day of the service, or cancels it within the twelve (12) hours prior, it shall pay one hundred percent (100%) of the confirmed value. Rescheduling of dates and times by mutual agreement generates no surcharge; THE LESSOR shall not be responsible for the difficulties derived from the haste in a last-minute rescheduling.
4.5 Additional requests in writing. Every additional request or change (equipment, services, schedules, personnel, locations) must be confirmed in writing, including by email addressed to THE LESSOR, and its charge is understood to be accepted with that confirmation. Verbal requests do not bind THE LESSOR nor generate a right to invoicing for THE LESSEE. The confirmed additions are invoiced with the same rates and conditions of the quotation.
4.6 Insurance. To guarantee the risks of the equipment during the rental, THE LESSEE shall pay one percent (1%) of the value of the rental as a contractual liability policy, an amount that shall generate joint and several debtors for the commitment acquired. In long-duration productions, THE LESSOR may accept in substitution the umbrella policy of the production, provided it covers the equipment and the liability vis-à-vis THE LESSOR. The coverage shall not operate when the equipment is used in notoriously unsafe conditions without the corresponding protection measures having been agreed and implemented.
4.7 Liability for damage and loss. THE LESSOR answers for the normal maintenance of its equipment. When, due to lack of foresight, non-observance or negligence of THE LESSEE, or of the persons for whom it must answer, the equipment suffers damage or loss, THE LESSEE shall pay its replacement value, after repair carried out by the technical service of THE LESSOR or of the equipment manufacturer's home office. The term to claim the loss or the damage is one (1) month counted from the event. When the damage or the loss occurs due to force majeure or the act of a third party and there is ground for a claim before the insurer, THE LESSOR shall make the claim through its insurer, for the benefit of the parties.
4.8 Recorded material and intellectual property. The intellectual property and the other rights over the recorded material belong to THE LESSEE or to whomever it represents. THE LESSOR does not keep copies of the material, unless THE LESSEE expressly commissions it and in writing with the custody of the material, in which case the storage conditions shall be agreed. Once the material or the recording media have been delivered to THE LESSEE or to its authorized person, all risk over the material is of THE LESSEE. THE LESSEE must verify the material during the recording or immediately after it and keep its own backup copies. THE LESSOR is not a storage farm and does not guarantee the conservation of material that has not been withdrawn.
4.9 Behind the scenes and portfolio. THE LESSEE authorizes THE LESSOR to photograph and record on video the behind the scenes of the productions carried out with its studios or with its equipment, through personnel of THE LESSOR itself, including its photographer or content creator, and to publish that material on the social networks and channels of THE LESSOR, existing or that may come to exist (among them LinkedIn, Facebook, Instagram and TikTok), on its website, in its services portfolio and in advertising pieces, in photographs, still images (stills) and videos, at no additional cost for THE LESSOR. The behind the scenes capture shall be done without interfering with the production. If the production is confidential or its launch is later, THE LESSEE shall inform it in writing and THE LESSOR shall refrain from publishing the material until the launch or until receiving written authorization.
4.10 Conformity and claims. At the end of each workday, the parties may sign the conformity of the service provided. Claims about the service or about the material must be submitted no later than within the twenty-four (24) hours following the end of the workday, with the corresponding evidence. Once that term has expired without a claim, the service is understood to have been received to satisfaction, without prejudice to the non-evident damage referred to in clause 3.11.
4.11 Force majeure. If an event of force majeure or a fortuitous event, including decisions of authority, disturbances of public order or extreme weather conditions, prevents the production from being carried out, the parties shall reschedule it by mutual agreement and without penalty. The services already rendered and the costs already incurred shall be paid in full. If THE LESSOR must cancel a service for reasons of safety of its personnel or of its equipment, it shall offer the rescheduling or the refund of the advances corresponding to services not rendered.
4.12 Occupational safety and health at work. All technical, operational and artistic personnel of each party must be affiliated and up to date in the Occupational Safety and Health Management System, in accordance with Decree 1072 of 2015 and Resolution 111 of 2017, with the personal protective equipment and the applicable biosafety protocols. When the work is executed under the direction and subordination of THE LESSEE as contracting party, the affiliation and the social security payments of its personnel shall be its responsibility. THE LESSOR may verify the supports and suspend activities that imply risk. THE LESSEE declares that its personnel and that of its suppliers is legally engaged and up to date in social security, and shall hold THE LESSOR harmless against any claim derived from its personnel.
4.13 Legal use and indemnity. THE LESSEE shall use the studios and the equipment in accordance with the law and good customs. If, due to the illegal use of the studios or of the equipment, or due to the content of its production, sanctions, claims or damages are caused to THE LESSOR, THE LESSEE shall indemnify it and hold it harmless, including defense costs.
4.14 Personal data protection. The parties undertake to comply with Law 1581 of 2012 and the rules that regulate it, and to use the personal data to which they have access on the occasion of this contract only for its performance, adopting the corresponding security measures. THE LESSEE authorizes THE LESSOR to process its personal data for the performance of the contract and the commercial management derived from it. If it does not agree with this processing, it must state it in writing, so as not to be included in the database of THE LESSOR.
4.15 Management before third parties. THE LESSEE authorizes THE LESSOR to manage before public or private entities the permits and activities necessary for the performance of the production. When the management involves travel outside the city, surcharges or fees may be generated for late returns or additional managements, which shall be informed beforehand to THE LESSEE.
4.16 Assignment and audit. THE LESSEE may not assign this contract or the rights derived from it without prior written authorization of THE LESSOR. THE LESSOR may assign it, or subcontract its performance, with companies of its same business group, informing THE LESSEE. THE LESSOR may audit at any time the performance of the obligations in charge of THE LESSEE.
4.17 Penalty clause. The breach of any of the obligations of this contract, by any of the parties, shall give rise to a sanction equivalent to twenty percent (20%) of the value of the contract, payable ten (10) business days after the notification of the breach, without prejudice to charging the additional damages that are proven.
4.18 Tax obligations. Each party declares that it is up to date in its tax obligations and undertakes to remain so during the term of the contract. The legalization expenses of this document shall be borne by both parties in equal shares.
4.19 Notices. Notices between the parties shall be made in writing to the addresses and emails registered in the quotation or in the delivery record. Those sent by email are understood to be received on the same day of their sending when they are made on a business day and within business hours. The contractual domicile of the parties is the city of Bogotá, D.C.
4.20 Amendments and entirety. Every modification of this document requires written agreement of the parties. If a competent authority declares any clause null or inapplicable, the others shall remain in full force. This document, together with the accepted quotation and the delivery records, constitutes the entire agreement between the parties on the rental of studios and equipment.
